Hornet Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the software-as-a-service (SaaS) system "Hornet" provided by Hornet IM Pty Ltd ("we," "us," or "our"). By using Hornet, you agree to these Terms. If you do not agree to these Terms, you may not use Hornet.

License

  • We grant you a non-exclusive, non-transferable license to use Hornet for the purpose of accessing and using the services offered through Hornet.

User Accounts

  • To use Hornet, you must create an account. You must provide accurate and complete information when creating your account, and you are responsible for maintaining the security of your account.

Payment

  • You agree to pay all fees associated with your use of Hornet. We may change the fees for Hornet at any time, but we will provide you with notice of any such changes.

Prohibited Conduct

  • You may not use Hornet for any unlawful purpose or in any way that violates these Terms. You may not:
    1. Use Hornet in a way that interferes with our systems or other users' use of Hornet;
    2. Use Hornet to distribute malware or other harmful software;
    3. Use Hornet to violate the rights of others, including intellectual property rights; or
    4. Use Hornet to engage in any fraudulent activity.

User Content and Intellectual Property

  • You retain ownership of any content you add to Hornet, but you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, store, and reproduce your content for the purpose of providing Hornet to you and other authorised users linked to your account. You represent and warrant that you have all necessary rights to grant us this license.
  • All other intellectual property rights in Hornet, including the software and any content available through Hornet, are owned by us or our licensors. You may not use or reproduce any of our intellectual property without our prior written consent.

Limitation of Liability

  • To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, or consequential damages arising from your use of Hornet, even if we have been advised of the possibility of such damages.

Indemnification

  • You agree to indemnify and hold us harmless from any claims, damages, or other expenses arising from your use of Hornet or your violation of these Terms.

Termination

  • We may terminate your access to Hornet at any time if you violate these Terms or for any other reason. Upon termination, you must cease using Hornet.

Governing Law

  • These Terms are governed by and construed in accordance with the laws of the state of Queensland, Australia.

Changes to Terms

  • We may update these Terms from time to time by posting the updated Terms on our website or notifying you by email. Your continued use of Hornet after such changes constitutes your acceptance of the revised Terms.
